Throughout the Sites, the terms “we”, “us” and “our” refer to One Retail Group Limited (including Pro Breeze UAE). One Retail Group Limited offers these Sites, including all information, tools and services available from these Sites to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. Pro Breeze UAE is powered by Shopify, which enables us to provide the Services to you.

By visiting our Sites and/ or purchasing something from us via one of our owned websites (a “Product” or "Products”), you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service” or “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our Sites or submitting any orders to us. These terms tell you who we are, how we will provide Products and Services to you, how you and we may change or end the contract, what to do if there is a problem and other important information. By accessing or using any part of the Sites, including by creating an account or submitting any information through the Sites, you agree to be bound by these Terms of Service. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, DO NOT ACCESS THESE SITES, SUBMIT ANY INFORMATION TO US THROUGH THESE SITES, BUY ANY PRODUCTS OR USE ANY SERVICES. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

SECTION 1 - ONLINE STORE TERMS & ACCOUNT

By agreeing to these Terms of Service and/or placing an Order on the Sites, you represent that you are at least the age of majority in your country, state, or province of residence. If you are under the Age of Consent or otherwise cannot lawfully enter into a contract, you must have your parent or guardian place an order on your behalf. When you place an order, you represent that you have the legal right to enter into a contract, and we rely on that representation. You also give us consent to allow any of your minor dependents to use the Services on devices you own or manage.

The Products you purchase through the Sites are meant for personal, household use and not for resale or commercial export. By placing an order, you represent that you are not buying Products for commercial purposes. If we believe your order violates these Terms or that you are engaging in fraudulent or grey-market activities, we reserve the right to refuse your order. Any orders placed in violation of this provision shall be null and void.

If you register or create an account, you agree to: (a) provide true, accurate, current, and complete information; and (b) keep that information up to date. We may suspend or terminate your account if we reasonably suspect that information is false or incomplete. You are responsible for maintaining the security of your account credentials and password and for all activity occurring under your account. You may not transfer, sell, assign, or licence your account to any other person.

SECTION 2 - OUR PRODUCTS & SERVICES

Certain Products or services may be available exclusively online through the Sites. These Products or services may have limited quantities and are subject to return or exchange solely according to our Return Policy.

We have made every effort to display as accurately as possible the colours, images, and representations of our Products. However, we cannot guarantee that your device screen's display of any colour will be accurate or meet your expectations.

All descriptions of products or product pricing are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any Product at any time and may limit the sales or quantities of any Products offered to any person, geographic region, or jurisdiction on a case-by-case basis. Any offer for any Product or service made on these Sites is void where prohibited by law.

SECTION 3 - ORDERS & ACCEPTANCE

When you place an Order, you are making an offer to purchase. Our acceptance of your Order will take place when you receive an Order Confirmation email, at which point a legal contract comes into existence between you and us. We must receive and process payment before your order is accepted.

If we are unable to accept your Order, we will inform you within 12 hours and refund you accordingly. Reasons may include: out-of-stock items, unexpected resource limits, errors in price or description, or inability to meet a delivery deadline. We reserve the right to limit or cancel quantities purchased per person, per household, or per Order (including orders using the same credit card, billing address, or shipping address). We reserve the right to prohibit orders that appear to be placed by dealers, resellers, or distributors.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as set out in your Order Confirmation. Unless stated otherwise, posted prices do not include taxes, shipping, handling, customs, or import charges.

Prices on our online stores may differ from physical stores or third-party sellers. Promotions may have separate terms governing pricing; in a conflict, promotion terms will govern.

You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update your email address, credit card numbers, and expiration dates. You represent and warrant that: (i) card information provided is true and complete, (ii) you are authorised to use the card, (iii) charges will be honoured by your card company, and (iv) you will pay posted prices plus shipping, handling, and applicable taxes.

SECTION 5 - PAYMENT METHODS AND PROCESSING

We offer a variety of payment methods through our checkout powered by Shopify and authorised third-party payment gateways. Available payment options, which may include major credit and debit cards, digital wallets, bank transfers, or buy-now-pay-later (BNPL) services, will be explicitly presented at checkout depending on your location, eligibility, and current store configurations.

By placing an order, you authorise us and our designated payment processors to charge your selected payment method for the total amount of your purchase (including applicable taxes, shipping, and fees). All transactions are subject to validation checks, authorisation by the payment provider, and fraud screening. Third-party payment options are governed by their respective terms and privacy policies. We do not guarantee that every payment method will be available in all regions or to all customers, and we reserve the right to modify or withdraw supported payment options at any time without notice.

SECTION 6 - SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you.

SECTION 7 - INTELLECTUAL PROPERTY & ACCEPTABLE USE

In these Terms, "Content" means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code, and software appearing on or forming part of the Sites. All Content (unless uploaded by Users) is owned by One Retail Group Limited, Pro Breeze UAE, our affiliates, or licensors and is protected by UK, U.S., and foreign copyright, trademark, and intellectual property laws.

You are granted a limited licence to view and display Content on a computer screen for personal, non-commercial use only. You must not reproduce, modify, copy, distribute, download, store, transmit, create derivative works of, or exploit any Content for commercial purposes without our express prior written permission. Pro Breeze, One Retail Group, and associated logos are trademarks of One Retail Group Limited or its affiliates. Shopify's trademarks belong to Shopify.

SECTION 8 - COPYRIGHT POLICY & DMCA NOTICE

We respect intellectual property rights. If you believe content on our Sites infringes your copyright, please submit a notice containing:

1. A description of the copyrighted work claim to be infringed;
2. The exact URL or location on the Sites where the infringing material is located;
3. Your address, telephone number, and email address;
4. A statement that you have a good-faith belief that the use is unauthorised; and
5. A statement under penalty of perjury that the information provided is accurate and that you are the owner or authorised to act on the owner's behalf.

SECTION 9 - OPTIONAL TOOLS & THIRD-PARTY LINKS

We may provide access to third-party customer tools which we neither monitor nor control. These are provided "AS IS" and "AS AVAILABLE" without warranties or endorsements. Use of optional third-party tools is entirely at your own risk.

We are not responsible for examining or evaluating the content or accuracy of third-party sites and assume no liability for third-party materials, products, or services. SECTION 10 - RELATIONSHIP WITH SHOPIFY

Pro Breeze UAE is powered by Shopify, enabling us to provide the Services. Any sales and purchases made on our Store are made directly with One Retail Group Limited / Pro Breeze UAE. Shopify is not responsible for any aspect of sales between you and us, including any injury, damage, or loss resulting from products. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from your transactions with us.

SECTION 11 - PRIVACY & SECURITY

Your submission of personal information through our Sites is governed by our Privacy Policy. Because our Services are hosted by Shopify, Shopify also collects and processes personal information regarding your access to and use of the Services, which may involve transmitting data to third parties or other countries. Please review our Privacy Policy for full details.

We employ reasonable security measures (including data encryption and network security software) to protect your information. However, no data transmission over the Internet can be guaranteed completely secure; you transmit information to us at your own risk.

SECTION 12 - USER COMMENTS, FEEDBACK & SUBMISSIONS

Our company policy does not allow us to accept unsolicited creative ideas, suggestions, or materials. However, if you send specific submissions at our request (e.g., contest entries) or send comments, suggestions, proposals, or reviews online or by email (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose (including commercial use).

We are under no obligation to: (1) maintain Feedback in confidence; (2) pay compensation; or (3) respond. We reserve the right (but have no obligation) to monitor, edit, or remove Feedback that we determine to be unlawful, offensive, libellous, obscene, or infringing on intellectual property. You agree your Feedback will not violate third-party rights, contain malware, or mislead regarding its origin.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally information on the Sites may contain typographical errors, inaccuracies, or omissions regarding product descriptions, pricing, shipping charges, promotions, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change/update information or cancel orders if any information is inaccurate at any time without prior notice (including after order submission).

Your sole remedy in the event of a pricing or description error is to return the product or cancel the order according to our Return Policy.

SECTION 14 - PROHIBITED USES

15.2 No Agent may access the Services unless it identifies itself and operates in accordance with section 15.4, and ceases access if requested by us.

15.3 We may limit or block Agent access using technical measures.

15.4 Agents must: (i) include Agent/[agent name] in the HTTP request's user agent string; (ii) not obfuscate Agent status by mimicking human behaviour or solving CAPTCHAs; (iii) respond truthfully to human/computer prompts; and (iv) not bypass security or rate limits.

SECTION 16 - TERMINATION

These Terms remain effective unless terminated by either you or us. You may terminate by notifying us that you no longer wish to use our Services or by ceasing to use the Sites. We may terminate this agreement or suspend access at any time without notice if you fail to comply with any provision, and you will remain liable for all amounts due up to the termination date.

SECTION 17 - DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED BY US, THE SITES, SERVICES, AND ALL PRODUCTS OFFERED ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED (INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT). WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SECTION 18 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL ONE RETAIL GROUP LIMITED, PRO BREEZE UAE, SHOPIFY, OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR REPLACEMENT COSTS) ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS PROCURED, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 19 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless One Retail Group Limited, Pro Breeze UAE, Shopify, and our affiliates, partners, officers, directors, agents, contractors, licensors, and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms of Service, your misuse of the Sites, or your violation of any law or third-party rights.

SECTION 20 - TRANSFER RIGHTS & THIRD PARTY RIGHTS

We may transfer or assign our rights and obligations under these Terms to another organisation at any time without notice. You may only transfer your rights or obligations to another person if we agree in writing.

Exception: You may transfer our Warranty Protection Plan to a person who acquires the Product or serviced property, provided reasonable evidence of ownership is presented. Nobody else has any rights under this contract; no third party shall have rights to enforce any term.

SECTION 21 - SEVERABILITY & NO WAIVER

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed without affecting the validity of remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

SECTION 22 - MINORS

Our Sites are not directed to children under 13 years of age (or the digital age of consent in your jurisdiction). We do not knowingly collect personal information from children under the Age of Consent. If we become aware that a minor has provided personal data without parent/guardian consent, we will delete that information immediately.

SECTION 23 - GOVERNING LAW AND JURISDICTION

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales. If you reside in Scotland or Northern Ireland, legal proceedings may be brought in either the Scottish/Northern Irish courts or the English courts.

SECTION 24 - ENTIRE AGREEMENT

These Terms of Service (including incorporated policies such as the Privacy Policy) constitute the entire agreement and understanding between you and us, superseding any prior or contemporaneous agreements, communications, and proposals (oral or written) between you and us.
